General terms and conditions of use

1. Definitions

Within these General Terms and Conditions of Use, the terms defined hereafter have the following meanings:

  • “API(s)”: Application Programming Interface, a standardised software interface used to access IMA Group’s computer data and services. The APIs provided are available from: https://developers.ima.eu. The term “API” includes program(s) provided to Users enabling them to offer their own clients access to the various functionalities together with the relevant technical documentation.
  • “Client”: natural person (individual) with a Developer Account.
  • “Account” or “Developer Account”: an account enabling a person to become a Client, access the Website, and integrate an IMA API with their own websites.
  • “General Terms and Conditions of Use” or “GTC” designates these terms and conditions of use of the Website https://developers.ima.eu.
  • “Special Terms”: means the terms and conditions of use specifically applicable to each of the Services available from the Website.
  • “Services”: means all the API Services available from the Website, in their current and future versions and any enhancements made to them.
  • “Website”: means the Developer website accessible at the URL https://developers.ima.eu
  • “User”: means any natural person having a Developer Account acting on behalf of a legal person.
  • “IMA”: means the Inter Mutuelles Assistance GIE joint venture.

2. Subject matter

The General Terms and Conditions of Use govern access to and use of this Website and are intended to set out the arrangements under which the present Website is used.

In particular, this Website allows Users having an Account to make use of API Services to integrate them into their own website or applications, or for other purposes. Users have access to an API catalogue, and from there the option to consult the list of IMA APIs, an API overview page and the API’s documentation.

Users must therefore create a User Account before attempting to use APIs and Services. Following registration, Users can manage their subscriptions to APIs, obtain a listing of the subscribed APIs, retrieve credentials and gain access to a testing environment. They can also create apps and amend their data. Services can be subject to their own terms and conditions of use. In this regard, Specific Terms supplement the Website’s General Terms and Conditions of Use. The Specific Terms will prevail in the event of contradiction between the Specific Terms and the General Terms and Conditions of Use.

3. Website access and use of the Services

To access the IMA APIs, a User will have to:

  • Create an Account on the Website https://developers.ima.eur in his or her own name
  • Accept the General Terms and Conditions of Use and any Specific Terms for the API to be used.

Once IMA has approved the Account, login details will be sent to Users, whereby they can manage their Accounts and access the APIs. The User undertakes to devote all resources necessary to ensure logins and passwords are kept confidential, and that accounts are kept secure.

IMA cannot be held liable for any loss or harm resulting from a breach by the User or any use that does not comply with the General Terms and Conditions of Use and the Specific Terms.

4. Acceptance of and amendments to the General Terms and Conditions of Use and the Website

Website access and use are subject to acceptance of and compliance with the General Terms and Conditions of Use.

The GTC may be amended at any time. The onus is on Users to read the latest version of the GTC, which can be accessed on the Website at any time. If the User disagrees with the GTC, then no use should be made of the Website.

5. Intellectual property

The Website and APIs are works protected by current legislation on intellectual property.

The reproduction of all or part of the Website’s contents is prohibited, unless IMA specifically agree otherwise. Content is presented for information purposes only, and is not binding on IMA as regards the use made of it.

Details of the specific rights granted to Users as regards the use made of APIs are given in the relevant Specific Terms.

6. Liability

Users bear sole responsibility for the use made of APIs. APIs are provided “as is”. IMA offers no guarantee that content is complete, accurate or up-to-date. Users are consequently responsible for ensuring that APIs meet their requirements.

IMA cannot be held liable in the event of:

  • unavailability of APIs and/or the Website or any functionality, including as a result of poor or no network coverage, or infection by a virus;
  • errors found in APIs or in links to which they might redirect Users;
  • any breach of these General Terms and Conditions of Use.

Users are responsible for ensuring their installations and the use made of APIs are secure.

IMA cannot be held liable for indirect loss or harm such as loss of earnings, financial harm, data loss or reputational harm brought about by use of the APIs or disruption connected to use of the APIs or halting such use.

7. Pricing and charges

Use of APIs may be paid or free of charge. The relevant Specific Terms for an API set out the arrangements for applicable charges.

When charges are applicable for an API selected by a User, then an invoice will be raised for the API concerned.

8. Miscellaneous provisions

If any of the clauses herein is held to be null and void, it will be disregarded, but not result in the nullity of the other clauses.

If IMA fails to enforce any right arising from the present GTC, this is not a waiver of the right to enforce any future rights.

9. Applicable law and election of jurisdiction

These General Terms and Conditions of Use are governed by the laws of France.

If an amicable agreement or settlement cannot be reached to any dispute relating to the formation, interpretation or performance of the General Terms and Conditions of Use, IMA and the Users give express and exclusive jurisdiction to the competent courts, notwithstanding multiple respondents, summary proceedings, third party proceedings and interim measures.
